Non-Disclosure Agreement 1. As a (potential) developer, web-designer, reviewer, affiliate, or freelance author/artist concerned with Real Time Logic ("RTL") and its intellectual properties, I acknowledge that I might have access to confidential information relating to documentation, EventHandler Demo Program and web-applications conceptualized or developed by RTL. I understand that disclosure of any such information to third parties would cause substantial detriment to RTL's ongoing business. 2. I agree that I will not in any way disclose at any time to any third party any of the following information: 2. a. Trade secrets of confidential information relating documentation and Demo Program or any other intellectual property, including but not limited to: Demo Program, web-applications, text, designs, trademarks, formulas, test data, marketing data, business plans, business strategies, employees, negotiations, contracts, patents, copyright, trademark applications, and patent registrations or application (including the status of their prosecution); and 2. b. Any other confidential information relating to any of RTL's clients, contractors, beta-testers, customers, consultants, licensees, affiliates or agents. 3. I acknowledge that all of the foregoing information is proprietary to RTL and that any such information is a valuable and unique asset of RTL. 4. RTL may correct errors in the Demo Program and Documentation within a reasonable time, as determined in its sole discretion. RTL does not guarantee or assume responsibility for any impact of use of the Demo Program on Tester's existing production or other environment or on CPU performance. Tester agrees that RTL makes no representations regarding the completeness, accuracy or Tester's use or operation of the Demo Program. The Demo Program, Web-Applications and Documentation are being delivered "AS IS" WITHOUT WARRANTIES OF ANY KIND. RTL DOES NOT WARRANT THAT THE DEMO PROGRAM WILL MEET TESTER'S REQUIREMENTS OR THAT THE OPERATION OF THE DEMO PROGRAM WILL BE UNINTERRUPTED, ERROR FREE OR WILL APPEAR AS DESCRIBED IN THE DOCUMENTATION. RTL AND ITS LICENSORS DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITAITON, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY WARRANTY OF TITLE OR INFRINGEMENT. IN NO EVENT WILL RTL BE LIABLE TO TESTER OR ANY OTHER PERSON FOR LOSSES OR DAMAGES, DIRECT OR INDIRECT, OR EXPENSES INCURRED BY TESTER IN CONNECTION WITH THE USE OF THE DEMO PROGRAM, INCLUDING LOST DATA, LOST PROFITS, BUSINESS INTERUPTION, TIME, MONEY, GOODWILL AND ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAM EVEN IF RTL HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES. TESTER'S SOLE AND EXCLUSIVE REMEDY SHALL BE TO TERMINATE THE DEMO PROGRAM AND THIS AGREEMENT BY WRITTEN NOTICE TO RTL. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND BY CLICKING THE "ACCEPT" BUTTON, YOU ACCEPT ITS TERMS AND CONDITIONS.
